Mô tả Công việc
Main Responsibilities:
1. Energy Projects
· Draft, review contracts related to renewable energy project development, including Power Purchase Agreements (PPAs), equipment leasing agreements, EPC contracts, and O&M contracts.
· Conduct legal due diligence on energy projects.
· Provide legal advice on project compliance, licensing matters and applicable regulatory.
· Provide legal counsel and support in resolving disputes or issues arising with partners and clients during project development and operations.
2. Corporate Governance
· Implement internal corporate procedures for shareholders' meetings, boards of directors/members' councils, and other governance bodies to ensure compliance with internal regulations and applicable law.
· Advise on the development and issuance of internal policies, regulations, and procedures.
3. Ad Hoc Matters
· Provide legal support on relevant documentation for M&A, financing activities (e.g., reviewing agreements, compiling due diligence documents).
· Handle other legal tasks assigned by the Legal Assistant Manager or senior management.
Yêu Cầu Công Việc
Requirements:
· Bachelor’s degree in Law.
· Licensed lawyer in Vietnam is preferred.
· At least 3 years of relevant legal experience, preferably in an international company, renewable energy, infrastructure or reputable law firm.
· Hands-on experience in contract drafting/review, particularly for project-related agreements and corporate legal matters.
· Strong contract drafting and legal documentation skills.
· Good understanding of corporate governance framework and regulatory compliance.
· Good analytical skills with the ability to identify and communicate legal risks in practical manner.
· Good interpersonal and communication skills, with the ability to collaborate effectively across functions and with external stakeholders.
· Good command of English, both written and spoken, at a professional working level.
