Job Purpose

To support the company’s legal compliance and business operations by managing licenses, lease contracts, commercial contracts, government reporting, and legal coordination with authorities, while ensuring legal risks are identified and properly mitigated in alignment with business objectives.

Key Responsibilities

1. License Management

• Serve as the primary point of contact responsible for obtaining, renewing, and canceling all permits and approvals required for company and store operations, including but not limited to the Enterprise Registration Certificate (ERC), Investment Registration Certificate (IRC), Branch Operation Registration Certificate, Business Location Registration Certificate, Business License, Retail Outlet License, and Advertising Approval.

2. Lease Contract Management

• Act as the key point of contact with landlords regarding all terms and conditions of lease agreements and related documentation; negotiate with landlords to safeguard the company’s interests.

• Coordinate with the Thailand Head Office to manage the execution and signing process of lease contracts and other related documents.

3. Contract Review & Management

• Review supplier contracts and other legal documents to identify potential legal risks; proactively inform relevant departments or management and propose appropriate business-oriented solutions.

• Collect and maintain fully executed contracts from relevant departments for management, taxation, and audit purposes.

• Provide legal support to relevant departments on contract-related matters.

4. Insurance Management

• Act as the primary liaison with insurance providers to purchase, renew, or terminate insurance policies and certificates for stores and warehouses, ensuring continuous protection of the company’s assets and products.

5. Government Reporting

• Prepare and submit all mandatory reports to government authorities in compliance with applicable laws and regulations, including but not limited to Investment Monitoring Reports, Foreign Investment Project Reports, Reports on goods trading and directly related activities, and Statistical Reports.

6. Finance Support

• Support the Finance team in preparing documentation and liaising with the State Bank for the registration or renewal of foreign loans, if applicable.

• Prepare required documentation and coordinate with Tax Authorities to obtain tax confirmations or certificates of no outstanding tax liabilities.

• Handle tax filings for small-value tax payments, if required.

7. Working with Government Authorities

• Prepare documentation and work with relevant authorities during legal compliance inspections and audits, including but not limited to the Department of Industry and Trade, People’s Committees, and Fire Prevention and Fighting Police.

8. Other Duties

• Perform other duties as assigned by the Thailand-based Legal Manager and the Vietnam Country Manager.

• Bachelor’s degree in Law with typically 3–5 years of relevant legal experience, either in an in-house legal function or at a law firm.

• Experience in the Retail industry is a strong advantage due to the heavy focus on store licensing and lease contract management.

• Proven track record in license management, particularly in obtaining and renewing ERC, IRC, and Retail Outlet Licenses.

• Strong experience in lease and commercial contract management, including drafting, reviewing, and negotiating terms to mitigate legal risks.

• Familiarity with government reporting requirements and hands-on experience working with authorities such as the Department of Industry and Trade, the State Bank (for foreign loans), and Tax Authorities.

• Languages: Full professional proficiency in both Vietnamese and English (written and verbal) is essential for reviewing bilingual contracts and coordinating with the Thailand Head Office.

• Demonstrated ability to negotiate effectively with landlords and suppliers to protect the company’s interests.

• Strong analytical skills with the ability to identify legal risks in complex documents and provide proactive, practical business solutions to management.

• Ability to work independently under remote supervision from a Thailand-based Legal Manager, while closely coordinating with the local Country Manager.
